1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (individually or on behalf of the entity you represent, "Customer") and AI Governance Solutions LLC ("Company," "we," "us," or "our") governing your access to and use of the AI GRC Platform and the website ai-governance-solutions.com (collectively, the "Services").

By creating an account, accessing the free preview, or making a purchase, you agree to these Terms.If you are accepting on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Services.

These Terms incorporate our Privacy Policy by reference.

2. Description of Services

the AI GRC Platform is a software-as-a-service (SaaS) platform designed to help organizations implement the NIST AI Risk Management Framework (NIST AI RMF) and related AI governance programs. The Services include AI system inventory management, risk assessment tools, control mapping, policy document generation, risk dashboards, and related features as described at ai-governance-solutions.com/platform.

We reserve the right to modify, update, or discontinue features of the Services with reasonable notice. We will not materially reduce core functionality during an active paid subscription term without offering a prorated refund for the affected period.

3. Account Registration & Security

To use the Services, you must create an account and provide accurate, current, and complete registration information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach at chase@ai-governance-solutions.com
• Ensuring that all users under your account comply with these Terms

You may not share account credentials with individuals outside your organization or resell access to the Services without our prior written consent. Accounts suspected of unauthorized sharing may be suspended pending investigation.

4. Subscriptions, Fees & Payment

4.1 Subscription Plans

The Services are offered on a monthly or annual subscription basis at the rates published at ai-governance-solutions.com/pricing. Prices are in U.S. dollars and are exclusive of applicable taxes.

4.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually depending on your selected plan). Payment is due at the beginning of each billing period. You authorize us (through our payment processor, Stripe) to charge the payment method on file for all applicable fees.

4.3 Annual Plans

Annual subscriptions are paid upfront for a 12-month term. Annual billing rates represent a discount equivalent to approximately two months of the monthly rate. Annual subscriptions are non-refundable after 14 days from the initial purchase date except as described in Section 4.5.

4.4 Price Changes

We may change subscription prices with at least 30 days' advance notice. Price changes will not affect your current subscription term but will apply upon renewal. Your continued use of the Services after the price change takes effect constitutes acceptance of the new price.

4.5 Refund Policy

Monthly subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period with no refund for the remaining period. Annual subscriptions may be cancelled within 14 days of the initial purchase (or annual renewal) for a full refund. After 14 days, annual subscriptions are non-refundable. We may issue discretionary refunds in exceptional circumstances at our sole judgment.

4.6 Taxes

You are responsible for all applicable taxes, duties, and assessments. Where required by law, we will collect and remit applicable sales tax based on your billing address.

5. Free Preview

We offer a Free Preview that allows you to complete the AI governance self-assessment and receive your AI governance maturity score and top risk findings at no cost. No credit card is required to access the Free Preview. The Free Preview does not expire, but access to the full assessment report, complete findings, remediation roadmap, and document generation requires a paid subscription.

Assessment data and inputs created during the Free Preview will remain accessible if you subscribe to a paid plan. If you do not subscribe, preview data may be deleted after 90 days of account inactivity. We reserve the right to modify the scope of the Free Preview at any time.

7. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to violate any applicable law or regulation
• Upload or transmit malware, viruses, or any malicious code
• Attempt to gain unauthorized access to our systems or the accounts of other users
• Reverse engineer, decompile, or disassemble any portion of the Platform
• Scrape, crawl, or harvest data from the Platform using automated means without written consent
• Use the Services to develop or train a competing AI product or service
• Reproduce, resell, or sublicense access to the Services without our written consent
• Submit false, misleading, or fraudulent information
• Use the Services in any manner that could damage, disable, or impair our infrastructure

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, at our sole discretion.

8. Intellectual Property

8.1 Company Property

The Platform, including its software, source code, algorithms, visual design, trademarks, and documentation, is owned by AI Governance Solutions LLC and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any Company intellectual property to you.

8.2 Customer Data

You retain all ownership of the data, content, and materials you upload or create within the Platform ("Customer Data"). You grant us a limited, non-exclusive license to access, process, and store Customer Data solely as necessary to provide the Services to you.

8.3 Feedback

If you submit suggestions, feedback, or ideas regarding the Services, you grant us a perpetual, royalty-free license to use such feedback without restriction or compensation to you.

8.4 AI Output Ownership

Documents and outputs generated by the Platform based on your Customer Data inputs are considered your deliverables. You own those outputs subject to Anthropic's usage policies. However, general-purpose model outputs, templates, and structural content generated by our AI systems may not be exclusively owned by any single customer.

9. Customer Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Services, you consent to the data practices described in the Privacy Policy. You represent that you have all necessary rights and consents to provide Customer Data to the Services and to authorize processing by third-party providers identified in our Privacy Policy, including Anthropic.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR PURPOSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless AI Governance Solutions LLCand its officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services in violation of these Terms; (b) your Customer Data; (c) your violation of any applicable law or third-party right; or (d) any decisions made or actions taken in reliance on AI-generated outputs from the Platform.

13. Term & Termination

13.1 Term

These Terms commence when you first access the Services and remain in effect until your subscription ends or is terminated.

13.2 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You remain responsible for all fees incurred before the cancellation date.

13.3 Termination by Us

We may suspend or terminate your access to the Services immediately, with or without notice, if: (a) you breach these Terms; (b) we are required to do so by law; (c) your account shows signs of fraud or abuse; or (d) we discontinue the Services.

13.4 Effect of Termination

Upon termination, your right to access the Services ceases immediately. You may request an export of your Customer Data within 30 days of termination. After 30 days, we may delete Customer Data in accordance with our data retention practices described in the Privacy Policy. Sections 6, 8, 10, 11, 12, and 14 survive termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [STATE OF LLC FORMATION — PLACEHOLDER], without regard to its conflict of law provisions. Any dispute arising under or relating to these Terms shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in [CITY, STATE — PLACEHOLDER]. Each party bears its own costs unless the arbitrator determines otherwise.

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction. The parties agree to the exclusive jurisdiction of courts located in [STATE — PLACEHOLDER] for any matter not subject to arbitration.

Class action waiver: You agree to resolve disputes with us on an individual basis only and waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and the Company regarding the Services.
• Modifications: We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance.
• Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms is not a waiver of our rights to enforce it later.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: Neither party is liable for delays or failures in performance caused by events beyond their reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
• No third-party beneficiaries: These Terms do not create any third-party beneficiary rights.
